In the Republic of Moldova the registration of a business is done on the basis of Law 220/2007 on the State registration of legal persons and individual entrepreneurs. Before applying for registration, be prepared with the following:

Choose the core business or activities of the company. Have a look at the Classification of the Activities of Moldovan Economics (CAEM). You can choose one or more types of activity.

Establish the legal address of the undertaking. You can also use the address of the dwelling that your privately owned or housed homes.

Find the name of the company. Prepares a few names for your company, as it is possible that, following the verification, certain names will be filled already.

Check if you need permissive acts for the initiation and conduct of the business.

In which cases will you need permissive acts?

Some entrepreneurial activities cannot be carried out without the State’s approval, granted in the form of permissive acts. Such acts may take the form of a licence, authorisation, permit, certificate, opinion, approval, patent, attestation of qualification. List of permissive acts required for some types of entrepreneurial activity, application procedure and related costs you can find them in annexes to Law 160/2011 on regulation by authorisation of the business of entrepreneurs.

Entrepreneurs can submit declarations and applications for the issue, extension, typing of permissive documents also online through the automated Information System for the management and issuing of permissive acts.

The procedure for registering a legal person in the Republic of Moldova is simple and can last between 4 and up to 24 hours (calculated from the next working day after the submission of the application). Bureaucratic procedures are minimal and all services are centralised, so there is no need to go to various institutions.

Legal persons, subsidiaries and their representative offices, as well as individual entrepreneurs, shall be registered with the multi-functional centres of the Public Service Agency (PSA), according to the company’s legal address. Once your registration is carried out, you will receive the following, as applicable:

1. Decision of the State Registration Body;

2. Acts of constitution;

3. Extract from the State Register of Legal Persons and Individual Entrepreneurs;

4. Unique State Identification Number (IDNO) attributed to the legal person. It is also considered a tax code.

Once the company is registered, basic company information will be automatically transmitted to State Fiscal Service, National Social Insurance Agency, National Insurance Company in Medicin. There is no need to go to the premises of these institutions for registration.
